1. About Samo Media

Samo Media is a full-service digital growth agency headquartered in Eindhoven, The Netherlands. We engineer sustainable commercial success for ambitious businesses through software engineering, mobile application development, performance marketing, search engine optimization, web development, and cinema-grade visual content production.

2. Service Scope and Project Agreements

  • Project Proposals: All services provided by Samo Media are governed by a specific written project proposal, service agreement, or retainer contract detailing project scope, deliverables, and timelines.
  • Client Collaboration: Successful project execution requires timely client feedback, provision of necessary brand assets, and administrative access credentials. Delays in client feedback may impact agreed delivery schedules.
  • Revisions and Adjustments: Unless explicitly stated otherwise in the project agreement, creative deliverables include up to two standard rounds of structured revisions. Additional scope expansions will be quoted separately.

3. Quotations, Pricing, and Invoicing

  • Currency and Taxes: All quotations and fees are presented in Euros (EUR) and are exclusive of Value Added Tax (VAT / Btw) unless explicitly indicated otherwise.
  • Payment Terms: One-off development and production projects generally require an initial commencement deposit, with milestone or final balance payments due upon deliverable completion. Monthly retainers are invoiced in advance of the service cycle.
  • Payment Methods: We accept standard European payment infrastructures including SEPA bank transfers, iDEAL, and major credit systems. Invoices must be settled within the specified due date.

4. Intellectual Property and Asset Ownership

  • Final Deliverables: Upon complete settlement of all agreed fees, Samo Media transfers full commercial usage rights for custom code, finished visual media, and customized digital assets to the client.
  • Pre-Existing Frameworks: Proprietary internal tools, developer libraries, and general software components developed prior to or independently of the project remain the intellectual property of Samo Media.
  • Portfolio Rights: Samo Media reserves the right to display completed project deliverables, design architectures, and general case studies in our commercial portfolio, unless a formal non-disclosure agreement (NDA) has been signed.

5. Client Warranties and Content Responsibility

The client warrants that all text, imagery, trademarks, datasets, and intellectual property supplied to Samo Media are legally owned or authorized for use. The client indemnifies and holds harmless Samo Media from any third-party claims concerning supplied materials.

6. Service Standards and Limitation of Liability

Samo Media executes all projects with professional European engineering precision and industry best practices. To the maximum extent permitted under Dutch law, our total aggregate liability arising from any contract or service engagement shall be limited to the total amount paid by the client for the specific service from which the claim arose.

7. Termination and Retainer Cancellation

Either party may terminate a project agreement upon written notice if the other party commits a material breach that remains unremedied after reasonable notice. For ongoing retainer agreements, cancellation terms follow the agreed notice period specified in the service contract.

8. Governing Law and Jurisdiction

These Terms of Service and all related agreements shall be governed exclusively by and construed in accordance with the laws of The Netherlands. Any disputes arising out of or related to our services shall be submitted to the exclusive jurisdiction of the competent courts of The Netherlands.
